Terms of Service

The rules and responsibilities that apply when you access or use Totalis.

Last updated: September 16, 2026

About these documents

These documents apply to the Totalis websites, applications, APIs, and services we provide. If an organization gives you access to Totalis, additional terms or policies from that organization may also apply.

1

Agreement to these Terms

These Terms of Service (“Terms”) govern your access to and use of Totalis websites, applications, hosted software as a service (SaaS), available platform as a service (PaaS) features, APIs, and related services (the “Service”). They form an agreement between you and the operator providing the Service under the Totalis name (“Totalis,” “we,” “us,” or “our”). Totalis is a service name, not a representation that a separate incorporated entity exists.

By accepting these Terms or using the Service after being given notice of them, you agree to them to the extent permitted by law. The Privacy Policy explains our data practices; acknowledging it does not waive your privacy rights. If you accept these Terms on behalf of an organization, you represent that you have authority to bind it, and “you” includes that organization. If you do not agree, do not use the Service.

2

Eligibility and accounts

You must be legally able to enter this agreement, or use the Service with authorization from a parent, guardian, school, employer, or other responsible organization. The Service is not directed to children under 13 for independent use.

Provide accurate account information, keep sign-in methods secure, and promptly notify us of suspected unauthorized access. You are responsible for activity performed through your account except to the extent caused by our breach of these Terms or where applicable law provides otherwise. Accounts may not be sold, transferred, or shared in a way that defeats access controls.

3

The Service

Totalis helps organize personal data such as tasks, coursework, events, projects, people, places, messages, and files. It can connect to third-party sources, preserve source evidence, synchronize across devices, run automations, and offer optional AI-assisted features.

Features may depend on your plan, device, region, and third-party providers. We may add, change, limit, or remove features and may establish additional rules, usage limits, or fees, subject to your agreed plan and applicable notice requirements. A separate written agreement accepted by both parties, including an order form, service level agreement (SLA), or data processing agreement (DPA), controls over these Terms to the extent of a conflict within its subject matter.

4

Platform and security responsibilities

Where your plan permits, you may use the APIs and platform features to build integrations, workflows, or applications. You are responsible for your code, configurations, permissions, connected systems, and the users you authorize to access them. Apply appropriate access controls, protect credentials and API keys, maintain your devices and software, and promptly revoke compromised access. You must provide required notices and obtain permissions for information you process about other people.

Keep independent copies of important content and verify exports and recovery procedures appropriate to your use. Synchronization, provenance history, soft deletion, and any operational backups are not a guarantee that every record can be restored. Unless a separate written agreement expressly provides otherwise, we do not promise a particular backup frequency, retention period, recovery time, or maximum amount of data loss.

We remain responsible for the safeguards we describe in the Privacy Policy and our obligations under applicable law and any applicable DPA. Your responsibilities do not excuse our breach of those duties. If you operate a self-hosted instance, you are responsible for that deployment’s infrastructure, updates, secrets, access, and backups.

Do not use the Service to operate emergency, life-support, or other safety-critical systems where failure could cause death, personal injury, or serious environmental damage. No certification or suitability for a regulated workload is promised unless expressly agreed in writing.

5

Paid plans and third-party charges

If you purchase paid access, the offer or order you accept must state the applicable price, term, usage limits, and any renewal, cancellation, and refund conditions. You agree to pay the disclosed fees and applicable taxes. These Terms alone do not authorize an automatic renewal or an undisclosed charge. Mandatory cancellation and refund rights remain unaffected.

You are responsible for charges under your own agreements with hosting, AI, communications, or other providers you connect. A usage estimate or platform limit is not a guarantee about a third party’s invoice. Changes to paid terms are subject to your accepted offer and any notice or consent required by law.

6

Acceptable use

You may not use the Service to:

  • break the law or violate another person’s rights;
  • access accounts, data, systems, or connected services without authorization;
  • upload malware, exploit vulnerabilities, disrupt availability, or bypass security and usage controls;
  • scrape, probe, reverse engineer, or automate access except as permitted by law, our documentation, or our written authorization;
  • submit content that is unlawful, infringing, fraudulent, abusive, or designed to deceive or harm others; or
  • use the Service to make high-risk decisions about another person without appropriate authority, review, and safeguards.

You must comply with the terms and access rules of every third-party service you connect.

7

Your content and permissions

You retain your rights in content you create or submit. You grant us limited permission to host, copy, process, transmit, and display that content only as needed to provide, secure, maintain, and support the Service and to comply with law. This permission ends when the content is deleted from active systems, subject to retention in backups, audit history, and legal records.

You represent that you have the rights and permissions needed to submit content and connect each source. You are responsible for reviewing imported information and proposed changes before relying on them. Totalis preserves provenance, but it cannot guarantee that source data is complete or correct.

8

Connected and third-party services

The Service may interoperate with calendars, email providers, learning platforms, maps, routing services, notification services, AI providers, and other third parties. Your use of those services is governed by their terms and privacy policies. We do not control and are not responsible for third-party content, availability, security, or changes, subject to applicable law. This does not exclude our own obligations for service providers processing data on our behalf under applicable law or an applicable DPA.

You authorize Totalis to access and process third-party information only within the permissions you grant and the features you request. You may need to reconnect a provider when its permissions or APIs change. Removing a connection does not require a provider to delete information it holds independently.

9

AI and automations

AI-generated content and automated results may be incomplete, inaccurate, or unsuitable for your circumstances. They are provided as assistance, not as professional, legal, medical, financial, or academic advice. Verify important information and keep appropriate human oversight.

Totalis is designed to present high-impact AI actions and calendar reservations for approval, but you remain responsible for changes you approve and automations you enable. Do not use the Service as the sole source for emergencies, safety-critical alerts, academic deadlines, travel decisions, or other time-sensitive obligations.

10

Privacy

The Privacy Policy explains how information is collected, used, disclosed, retained, and protected. By using the Service, you acknowledge those practices. If an organization manages your account, it is responsible for any additional notices and consents required for its use of the Service.

11

Service ownership and licenses

The Service, including its software, interface, branding, and documentation, is protected by intellectual-property laws. These Terms do not transfer ownership of the Service or its trademarks.

No permission is granted to use Totalis names, logos, or branding in a way that suggests endorsement or causes confusion. Feedback may be used without restriction or payment, provided it does not identify you or disclose your confidential information.

12

Suspension and termination

You may stop using the Service at any time. Contact contact@totalis.tech for account deletion or data export options that are not available in the product. Disconnect sources before termination if you want to revoke ongoing provider access directly.

We may suspend or terminate access when reasonably necessary to address a violation of these Terms, security risk, legal requirement, nonpayment, or discontinuation of the Service. When practical, we will provide notice and a reasonable chance to export data. Sections that by their nature should survive termination—including ownership, disclaimers, liability limits, indemnification, and disputes—will survive.

13

Availability and changes

The Service may be unavailable due to maintenance, failures, provider outages, security incidents, or network conditions. Synchronization, email delivery, push notifications, background location, and third-party data may be delayed or incomplete. No uptime, support response, or recovery commitment applies unless expressly included in your applicable written agreement. Any SLA credits and remedies are governed by that agreement and mandatory law.

To the extent permitted by law, we are not liable for delay or failure to perform caused by events beyond our reasonable control, such as natural disasters, war, government action, or widespread power or telecommunications failures. A cyberattack or provider outage qualifies only to the extent it is beyond our reasonable control; its occurrence alone does not excuse a failure to meet our security obligations. We will take reasonable steps to mitigate the effects and resume service.

14

Disclaimers

To the fullest extent permitted by law, the Service is provided “as is” and “as available.” Except for express commitments in an applicable written agreement, we disclaim all express, implied, and statutory warranties, including merchantability, satisfactory quality, fitness for a particular purpose, title, non-infringement, and warranties arising from a course of dealing or usage of trade.

We do not warrant that the Service will preserve every record, detect every conflict, deliver every reminder, or match every third-party source. We do not warrant uninterrupted, accurate, error-free, or completely secure operation, or that the Service will be free from vulnerabilities or harmful components. Unauthorized access, hacking, malware, ransomware, credential compromise, and accidental loss, alteration, or disclosure of information remain possible despite safeguards. No statement here limits legally required security, privacy, or incident-notification duties.

Features identified as beta, preview, experimental, or trial may be incomplete, change, or be withdrawn and are subject to these same disclaimers. Some jurisdictions do not permit certain exclusions or require statutory guarantees; those rights remain unaffected.

15

Limitation of liability

Excluded damages. To the fullest extent permitted by law, Totalis, its operator, and their affiliates, personnel, contributors, licensors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, opportunities, goodwill, or data, business interruption, or the cost of replacement services or recovering or recreating data, arising out of or relating to these Terms or the Service.

Aggregate cap. To the fullest extent permitted by law, the combined total liability of those parties for all claims arising out of or relating to these Terms or the Service will not exceed the greater of the fees you paid to Totalis for the Service during the 12 months immediately before the first event giving rise to liability or US $100. This is a single aggregate cap, not a separate cap per claim, incident, user of your application, or defendant.

Application to security incidents and other claims. These exclusions and limits apply to claims involving unauthorized access, hacking, malware, ransomware, credential theft, data breaches, loss or disclosure of information, outages, third-party failures, and AI or automation errors. They apply regardless of the legal theory, including contract, tort (including negligence), strict liability, or statute, even if a party was advised of the possibility of the loss or a limited remedy fails of its essential purpose, in each case only where permitted by law.

Rights that cannot be limited. Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including, where applicable, fraud, fraudulent misrepresentation, gross negligence, willful misconduct, or death or personal injury caused by negligence. Mandatory consumer guarantees, privacy and data-protection rights, statutory remedies, and required security and breach-notification obligations remain unaffected. These Terms do not prevent complaints to regulators or restrict their enforcement powers. An applicable separate written agreement may provide different liability terms.

The exclusions and cap allocate risk and form part of the basis on which the Service is offered, including free access. If a particular exclusion is unenforceable, the remaining exclusions and cap apply to the extent permitted by law.

16

Business-customer indemnification

If you use the Service for a business or organization, to the extent permitted by law, you will defend, indemnify, and hold harmless Totalis, its operator, and their personnel from third-party claims, damages awarded by a court or agreed in a settlement, and reasonable legal costs to the extent arising from your content or applications infringing another person’s rights, your violation of these Terms or applicable law, or a dispute with your end users caused by your acts or omissions. This obligation does not apply to personal consumer use or to the extent a claim is caused by our breach of these Terms, negligence, or misconduct.

We will give prompt written notice of a covered claim and reasonable cooperation at your expense. A delay in notice reduces your obligation only to the extent it materially prejudices the defense. You may control the defense with qualified counsel, but may not settle a claim in a way that admits fault by, imposes nonmonetary obligations on, or fails to release a protected party without that party’s prior written consent. We may participate with our own counsel at our own expense. The cap on Totalis’s liability does not cap your obligations under this section, subject to applicable law.

17

Governing law and disputes

Before filing a formal claim, you and Totalis agree to try to resolve the issue informally by giving the other party a written description of the dispute and a reasonable opportunity to respond. Notices to Totalis may be sent to contact@totalis.tech. This does not prevent urgent court relief, a regulatory complaint, or a filing needed to preserve a legal deadline.

Unless an applicable written agreement validly specifies governing law and venue, applicable law determines them and claims may be brought in a court with jurisdiction. Mandatory consumer protections and rights to bring claims in your local forum remain unaffected.

18

General terms and contact

If a provision of these Terms is unenforceable, it will be modified to the minimum extent necessary and the remaining provisions will remain in effect. A failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a reorganization, merger, acquisition, or transfer of the Service.

We may update these Terms to reflect changes to the Service or legal requirements. We will provide notice of material changes through the Service or your account email, including advance notice and renewed acceptance where required by law or your agreement. The revised Terms take effect on the stated effective date after any required notice period. Continued use constitutes acceptance only where legally valid; revisions do not retroactively change accrued claims. The date above identifies this revision.
